1. Introduction

Welcome to Contigen, an automated content generation platform designed to help businesses, agencies, and content creators generate high-quality blog articles, social media posts, and other digital content.

These Terms of Service ("Terms") govern your access to and use of the Contigen platform and services ("Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration and Security

To use certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Subscription and Payment Terms

We offer monthly and annual subscription plans. Payments are processed through Stripe. No refunds are provided for partial months. Users can cancel anytime, effective at the end of the current billing period.

We offer various subscription tiers with different features. All subscriptions auto-renew. Cancellations must be made 7 days before renewal to avoid charges. No refunds are provided except in cases of technical failure.

You agree to pay all fees and charges associated with your account on a timely basis and according to the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.

4. Intellectual Property Rights

We own all intellectual property rights related to our services. Users retain ownership of their content but grant us a license to use it for service provision.

By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing and improving the Service.

You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any content that you submit.

5. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Send spam or other unsolicited messages
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems

• Engage in reverse engineering or attempt to extract the source code of our software

You are solely responsible for the content you generate using our Service. You agree not to use our Service to create content that:

• Promotes discrimination, bigotry, racism, or harm against any group or individual

7. Termination

Accounts can be terminated for non-payment or terms violations. We reserve the right to suspend or terminate your access to the Service at any time, for any reason, without notice or liability to you.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers and Limitations of Liability

Our service is provided "as is" without warranties. We limit our liability to the amount paid by the customer in the last 12 months. We are not liable for indirect, consequential, or special damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTIGEN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTIGEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Contigen and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.

10. Dispute Resolution

Disputes will be resolved through mediation first, then arbitration if necessary. Arizona law applies, and users consent to personal jurisdiction in Arizona.

Any dispute arising from or relating to the subject matter of these Terms shall be first subject to mediation in Scottsdale, Arizona. If mediation is unsuccessful, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We update our policies periodically and post notifications on our website. Users are responsible for regularly reviewing our policies for changes. Your continued use of the Service after any changes to these Terms constitutes your acceptance of such changes.

12. General Provisions

These Terms constitute the entire agreement between you and Contigen regarding the use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
